details below. Vantor is seeking a Director, Corporate Attorney to
join our Legal team as a strategic partner to the business. This
role will lead complex, high-impact legal initiatives with a strong
emphasis on software licensing, SaaS and technology transactions,
and U.S. federal government contracting. The ideal candidate brings
deep experience in commercial software contracting and federal
procurement, including FAR/DFARS compliance. You are pragmatic,
solutions-oriented, and comfortable balancing risk with business
velocity in a high-growth, technology-driven environment. This role
will serve as a key advisor to executive leadership, Sales,
Product, Engineering, and Government Programs teams, helping
structure scalable contracting frameworks that support enterprise
and government customers. This position can be in Westminster, CO
or Herndon, VA, and requires three days of in-office work per week
and hybrid for the other two days Key Responsibilities Software
Licensing & Technology Transactions Draft, review, and negotiate
complex software and technology agreements, including SaaS
agreements, subscription agreements, enterprise license agreements,
platform licenses, API and product integration agreements.
Structure and negotiate intellectual property licensing terms,
including data rights, derivative works, and commercialization
rights. Develop and maintain standardized contract templates,
fallback positions, and negotiation playbooks to increase
scalability and consistency. Partner with Product and Engineering
to align licensing models with product strategy and
commercialization objectives. Federal Government Contracting
Review, draft, and negotiate U.S. Government prime contracts,
subcontracts, teaming agreements, NDAs, and related procurement
documents. Advise on compliance with FAR, DFARS, agency
supplements, and other applicable federal regulations. Counsel
internal stakeholders on government-specific requirements,
including: Data rights and technical data assertions Flow-down
clauses Security and information handling requirements Small
business subcontracting plans Bid protests and contract claims (as
needed) Support proposal review and risk assessment for government
solicitations. Partner with Contracts and Compliance teams to
strengthen internal government contracting processes and controls.
Commercial Contracting & Strategic Advisory Review and negotiate
complex enterprise customer and channel/distributor agreements.
Support Sales and Business Development in structuring scalable
commercial and public sector deals while appropriately balancing
risk. Advise on pricing structures, indemnification, limitation of
liability, warranty frameworks, and compliance obligations. Manage
disputes and contract-related escalations in alignment with company
policies and risk tolerance. Provide practical, business-focused
legal guidance to cross-functional teams, including Finance, Sales,
Product, Marketing, IT, and Communications. Legal Operations &
Process Improvement Support implementation of AI-enabled
contracting tools and workflow optimization initiatives. Improve
contracting efficiency through automation, knowledge management,
and process standardization. Contribute to the development of
internal training materials related to software licensing and
government contracting compliance. Minimum Qualifications Juris
Doctor (JD) from an accredited law school. Active bar membership
and in good standing in Colorado or Virginia (or eligible for
admission). 8 years of relevant legal experience, including
substantial experience in: Software licensing and technology
transactions and Federal government contracting (FAR/DFARS)
Demonstrated experience negotiating complex enterprise or public
sector agreements. Must be a U.S. citizen (due to government
contracting requirements). Preferred Qualifications Significant
experience negotiating SaaS, enterprise software, and IP licensing
agreements. Deep familiarity with FAR/DFARS clauses impacting
commercial software companies. Experience advising on data rights
(including SBIR/STTR rights), export controls, and cybersecurity
compliance frameworks. Ability to obtain and maintain a U.S.
security clearance. Experience implementing AI-enabled contracting
tools or leading legal operations initiatives. Demonstrated ability
to manage a high-volume, diverse portfolio of matters under tight
deadlines. Strong executive presence and ability to influence
senior stakeholders. Willingness to travel as needed. LI-MG1 Pay

starting pay will fall within the salary range provided below and
is determined based on job-related factors, including, but not
limited to, the experience, qualifications, knowledge, skills,
geographic work location, and market conditions. Candidates with
the minimum necessary experience, qualifications, knowledge, and
skillsets for the position should not expect to receive the upper
end of the pay range. ? The base pay for this position within
Colorado is: $164,000.00 - $273,000.00 annually. ? The base pay for
this position within the Washington, DC metropolitan area is:
$180,000.00 - $300,000.00 annually. For all other states, we use
geographic cost of labor as an input to develop market-driven
ranges for our roles, and as such, each location where we hire may
